Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Nano Security platform ("Service"), operated by nano, LLC ("Nano", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Terms

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the security of your account credentials.
  • You must be at least 18 years old to use the Service.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.

3. Service Description

Nano provides a cloud-based Security Information and Event Management (SIEM) platform that collects, stores, and analyzes security log data. The Service includes AI/LLM-powered alert triage and analysis features.

The Service may be delivered through various deployment models, including but not limited to: (a) a fully managed cloud platform hosted by Nano; or (b) a "Bring Your Own Cloud" ("BYOC") model in which Nano's proprietary software is deployed as container images onto infrastructure owned or controlled by you. Regardless of deployment model, the software, container images, and all related components remain the exclusive property of Nano and are licensed, not sold.

4. AI and LLM Advisory Disclaimer

The Service includes artificial intelligence and large language model (LLM) features that provide automated alert triage, analysis, and recommendations. You acknowledge and agree that:

  • AI-generated insights, recommendations, and classifications are advisory in nature only and should not be relied upon as the sole basis for security decisions.
  • AI outputs may contain inaccuracies, false positives, false negatives, or incomplete analysis.
  • You are solely responsible for evaluating, verifying, and acting upon any AI-generated recommendations.
  • Nano does not guarantee the accuracy, completeness, or timeliness of AI-generated outputs.
  • AI models may be updated, modified, or replaced at any time, which may affect the nature of outputs.

5. No Guarantee of Detection

THE SERVICE DOES NOT GUARANTEE DETECTION OF ALL SECURITY THREATS, INCIDENTS, OR VULNERABILITIES. You acknowledge that:

  • No SIEM solution can detect every security threat or incident.
  • Detection capabilities depend on the quality, completeness, and timeliness of log data you provide.
  • The Service may produce false positives or fail to detect certain threats (false negatives).
  • You remain solely responsible for your organization's overall security posture.
  • The Service is one component of a comprehensive security program and should not be your only security measure.

6. Log Data Completeness

You are responsible for configuring and maintaining log sources that send data to the Service. Nano does not guarantee:

  • That all log data transmitted to the Service will be received, processed, or stored without loss or delay.
  • The accuracy or completeness of log data as received from your systems.
  • That log data retention will exceed the limits specified in your subscription tier.
  • Availability of log data after your subscription ends or is terminated.

7. Software License, Intellectual Property, and BYOC Terms

7.1 License Grant

Subject to your compliance with these Terms and payment of applicable fees, Nano grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Service — including any software, container images, binaries, and related components ("Software") — solely for your internal business purposes and only during the term of your active subscription.

7.2 Proprietary Rights

All Software, including but not limited to container images, source code, object code, binaries, algorithms, data models, architectures, APIs, documentation, trade secrets, and know-how, is and remains the sole and exclusive property of Nano and its licensors. Nothing in these Terms transfers any ownership or intellectual property rights to you. All rights not expressly granted herein are reserved by Nano.

7.3 BYOC Deployment Restrictions

If the Service is deployed under a BYOC model where Nano's proprietary container images are deployed onto your infrastructure, you acknowledge and agree that:

  • The container images and all Software contained therein are proprietary to Nano and are provided under license only.
  • You shall not, and shall not permit any third party to:
    • Copy, duplicate, distribute, publish, or transfer the container images or any Software to any third party or to any environment not authorized under your subscription.
    • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, algorithms, or trade secrets from the container images or any component of the Software.
    • Modify, adapt, translate, or create derivative works based on the Software or container images.
    • Remove, alter, or obscure any proprietary notices, labels, or markings on or in the Software.
    • Extract, export, or separate any component, layer, file, or artifact from the container images for any purpose other than running the Software as intended.
    • Use the Software to build or support a competing product or service.
    • Benchmark, performance-test, or publish comparative analysis of the Software without Nano's prior written consent.
  • You are responsible for securing the infrastructure on which the Software is deployed and for preventing unauthorized access to the container images and Software.
  • You shall use commercially reasonable efforts to prevent unauthorized copying or distribution of the Software from your infrastructure.

7.4 Registry Credentials

Nano may provide you with credentials, tokens, or keys to access Nano's container registry or software distribution systems ("Registry Credentials"). You agree that:

  • Registry Credentials are confidential, issued solely for your authorized use, and may not be shared with, disclosed to, or used by any third party.
  • You shall store Registry Credentials securely and limit access to personnel who require them to operate the Service.
  • You must notify Nano immediately upon discovery of any unauthorized use or disclosure of Registry Credentials.
  • Nano may rotate, revoke, or reissue Registry Credentials at any time for security or operational reasons.

7.5 Audit Rights

Nano reserves the right to audit your use of the Software to verify compliance with these Terms, including but not limited to verifying that container images are deployed only on authorized infrastructure, that no unauthorized copies exist, and that Registry Credentials have not been shared. You agree to cooperate with any such audit upon reasonable notice.

8. Subscription and Payment

  • The Service is offered under various subscription tiers with different features and limits.
  • Fees are billed in advance on a monthly or annual basis as selected during signup.
  • All fees are non-refundable except as required by applicable law.
  • We reserve the right to change pricing with 30 days' notice.
  • Failure to pay may result in suspension or termination of your account.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Nano does not warrant that:

  • The Service will meet your requirements or expectations.
  • The Service will be uninterrupted, timely, secure, or error-free.
  • The results obtained from the use of the Service, including any AI-generated outputs, will be accurate, reliable, or complete.
  • Any errors or defects in the Service will be corrected.

You expressly acknowledge and agree that use of the Service is at your sole risk. No advice or information, whether oral or written, obtained by you from Nano or through the Service shall create any warranty not expressly stated in these Terms.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • Nano's total aggregate liability arising out of or related to these Terms or the Service shall not exceed the total fees paid by you to Nano during the twelve (12) months preceding the claim.
  • In no event shall Nano be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of data, loss of profits, business interruption, security breaches, or damages resulting from undetected threats.
  • These limitations apply regardless of the legal theory upon which damages are claimed and even if Nano has been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless Nano and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights.
  • Any security incident resulting from your failure to act on alerts or recommendations provided by the Service.
  • Any unauthorized access to, copying, distribution, or use of the Software or container images resulting from your failure to secure your infrastructure or credentials.
  • Any claim by a third party arising from unauthorized distribution or disclosure of the Software from infrastructure under your control.

12. Data Handling

  • We process your data in accordance with our Privacy Policy and any applicable Data Processing Agreement.
  • Log data you send to the Service remains your property.
  • We may use aggregated, anonymized data for Service improvement and analytics.
  • Upon account termination, your data will be deleted in accordance with our data retention policy.

13. Service Level

  • We target 99.9% uptime for the Service but do not guarantee uninterrupted availability.
  • Scheduled maintenance windows will be communicated in advance when possible.
  • Specific service level commitments may be outlined in a separate Service Level Agreement for applicable subscription tiers.

14. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable laws.
  • Attempt to gain unauthorized access to the Service or its related systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or disassemble any aspect of the Service.
  • Resell or redistribute the Service without written permission.
  • Send deliberately malicious, harmful, or fabricated log data to the Service.

15. Termination

  • You may cancel your subscription at any time through your account settings.
  • We may terminate or suspend your access for violation of these Terms, non-payment, or at our discretion with reasonable notice.
  • Upon termination, your right to use the Service ceases immediately.
  • Sections relating to software license and intellectual property (Section 7), disclaimer of warranties, limitation of liability, indemnification, post-termination obligations, and governing law survive termination.

15.1 Post-Termination Obligations

Upon termination or expiration of your subscription for any reason, you must within thirty (30) days:

  • Permanently delete all copies of Nano's container images, Software, and any derivative or extracted components from all infrastructure, systems, and storage under your control.
  • Delete or destroy all Registry Credentials and any cached authentication tokens.
  • Certify in writing to Nano, upon request, that you have complied with these post-termination obligations.

Failure to comply with post-termination obligations constitutes a material breach of these Terms and may result in legal action, including injunctive relief and recovery of damages.

16. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Service before the changes take effect.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

18. Equitable Relief

You acknowledge that any breach of Section 7 (Software License, Intellectual Property, and BYOC Terms) would cause irreparable harm to Nano for which monetary damages would be an inadequate remedy. Accordingly, Nano shall be entitled to seek injunctive or other equitable relief in addition to any other remedies available at law or in equity, without the necessity of proving actual damages or posting any bond.
